Rossell Techsys makes wire harnesses, electrical interconnects and electronic assemblies for aerospace and defence primes — with independently corroborated relationships with Boeing (a 2023 "trusted Indian supplier" designation) and Honeywell (a 2023 Supplier Excellence Award), alongside company-claimed work on Apache, Chinook, F-15 and F-16 platforms. Since its August 2024 demerger from Rossell India, standalone revenue has nearly doubled (₹260cr to ₹485cr, FY25 to FY26) — genuine, fast growth.
It is also, on a ~180x trailing P/E and ~30x price-to-book, priced far beyond what this research's own arithmetic — using even generous growth and margin assumptions — can justify. Two years of standalone history is not enough to establish a durable earnings base at this scale of company, no statutory auditor or credit rating could be confirmed, and even the company's own basic corporate history shows an unreconciled discrepancy (its regulatory filings describe a 2020 Delaware incorporation with an Arizona facility, while its own website describes 2011 origins with a different U.S. city).
Net: SELL. The underlying customer relationships are real and valuable; the price does not yet reflect any margin of safety against the company's own short track record.
Rossell Techsys is a full main-board listed company under standard SEBI LODR obligations following its August 2024 demerger listing.
The board carries genuine independent representation (3 of 6, 50%), and the company has disclosed a concrete diversification step (the first semiconductor-industry customer order) with a specific date rather than vague forward-looking language.
Both the Executive Chairman (Harsh Mohan Gupta) and Managing Director (Rishab Mohan Gupta) roles sit with the same promoter family — not a combined single-person role, but concentrated family control of both top executive seats, worth naming even where each individual title is properly separate. The unreconciled 2011-vs-2020 incorporation-history discrepancy (see previous page) is also, at minimum, a disclosure-consistency issue worth resolving.
None found in a targeted litigation search — but combined with the unconfirmed auditor identity and absent credit rating, this report cannot describe Rossell Techsys's governance disclosure as complete. Absence of adverse findings should not be read as a thorough clean bill of health given how much basic information remains unconfirmed.
Resolution of the incorporation-history discrepancy; confirmation of statutory auditor identity; whether any credit rating agency initiates coverage; the rationale, if disclosed, for the July 2026 promoter share sale.
Incomplete on basic disclosure, independent of whether anything is actually wrong. The unconfirmed auditor, absent credit rating, and unreconciled corporate history are disclosure gaps a company at this valuation should not have — this belongs in the discount rate as much as the valuation math on the following pages.
We annualise the most recent quarter's run-rate (Q1 FY27 PAT ₹7.14cr × 4 ≈ ₹28.6cr) on an implied share count of ~3.77cr (market cap ÷ CMP), and apply a range of P/E multiples generous enough to credit real, sustained high growth:
| Scenario | Target P/E | Annualised PAT (₹cr) | Per-share (~) | Downside |
|---|---|---|---|---|
| Bear | 40x | 28.6 | 303 | (75.0)% |
| Base | 70x | 28.6 | 531 | (56.3)% |
| Bull | 100x | 28.6 | 759 | (37.5)% |
Even a bull-case 100x multiple — itself an extraordinarily generous multiple to apply to any industrial company — implies substantial downside from the current price. This is the widest gap between current price and any constructed fair value in this report's entire company universe.
Upgrade triggers: sustained multi-quarter earnings growth that closes the gap between current price and any reasonable multiple; confirmation of statutory auditor and initiation of credit-rating coverage; resolution of the incorporation-history discrepancy without concern. Downgrade triggers (i.e., further caution warranted): any slowdown from the FY26 growth pace; further unexplained promoter share sales; any adverse finding on the unresolved corporate-history discrepancy.
